By using this explicit language, the company ensures that there is no confusion about who the contract applies to. This clarity avoids potential legal issues if a customer tries to claim that they did not understand their contractual roles or obligations.

SECTION 2- LIMITATION OF LIABILITY FOR ACCOUNT LOSS

Prime Ecommerce Solutions works diligently to provide the highest quality service and optimize your Amazon business, but cannot guarantee that there will be no problems or losses with your Amazon account. You acknowledge and agree that:

  • Disclaimer of Liability for Losses: Prime Ecommerce Solutions is not responsible for any losses, damages, account suspensions, or penalties resulting from any actions taken with respect to your Amazon account by Amazon or any third party.
  • Best Efforts Commitment: We will make all reasonable efforts to ensure the success of your Amazon business and avoid any interruptions or adverse effects. However, the ultimate responsibility for your account and any associated risks remains with you, the account owner.

SECTION 3- CUSTOMER OBLIGATIONS

Without this access, the company cannot perform tasks such as updating product listings, processing orders, or analyzing sales performance.

  • Prime Ecommerce Role: Prime Ecommerce Solutions can provide guidance, offer compliance advice, and assist with account management, but cannot be held responsible for customer actions that violate Amazon policies on their own. Customers are responsible for complying with regulations such as product authenticity, correct listing, and tax liability.
  • Consequences: If customers do not follow Amazon policies or local laws, there may be serious consequences, including account suspension and legal sanctions. In such cases, Prime Ecommerce Solutions is not responsible for any economic or reputational damage resulting from non-compliance. For example, if a customer sells counterfeit products or does not follow Amazon pricing policies, Amazon may suspend their account, but Prime Ecommerce Solutions is not responsible for any business interruption or economic loss that results from it.

Customer Corporation

Customers must provide necessary information, approvals, and access to the platform in a timely manner. Any delays that occur without your cooperation may result in longer delivery of services.

  • Terms: Customer is granted a non-exclusive license to use the services created by Prime Ecommerce Solutions exclusively for Amazon Business.
  • Why it’s important: A non-exclusive license allows the customer to use the materials and tools provided by Prime Ecommerce Solutions but does not grant ownership of them. This distinction is important because it allows Prime Ecommerce Solutions to use similar materials with other clients and continue to leverage its expertise across multiple businesses.
